AIFC Jurisdiction in Astana: Corporate Law and Legal Support
The Astana International Financial Centre (AIFC) offers a distinct legal framework for companies and investors operating in Kazakhstan. Benefits & Partners advises businesses on structuring, incorporation, corporate governance, compliance and dispute resolution.

The AIFC legal framework and common-law principles
The AIFC framework is based on Kazakhstan’s Constitutional Statute on the AIFC, applicable AIFC acts and relevant Kazakhstan legislation. Corporate rules draw on English common-law principles, providing investors with familiar contractual and governance instruments. AIFC incorporation does not, by itself, shield assets from lawful creditors or regulatory action.
Tax treatment of AIFC participants
Specific tax exemptions are available only for qualifying activities and income subject to statutory conditions. An AIFC company is not automatically exempt from all taxes. Each structure requires an individual analysis of eligibility and Kazakhstan tax obligations.
Company registration in the AIFC
Incorporation involves selecting the appropriate legal form, identifying shareholders and beneficial owners, preparing constitutional documents and filing with the Registrar of Companies. Following incorporation, applicable registers, filings and notifications must be maintained.
See AIFC company registration and post-registration corporate services.
Corporate compliance and regulation
Requirements vary according to the entity’s form and business activities. Companies should assess ongoing reporting, beneficial ownership disclosures, internal policies and any additional regulatory duties.
Regulated financial services and AFSA licensing
Registering a company is not the same as obtaining authorisation for regulated activities. Depending on the services offered, firms may need an AFSA licence, suitable governance arrangements, financial resources and compliance policies. Digital-asset and investment businesses require particular attention.
Related services include licensing support and collective investment schemes.
AIFC Court and International Arbitration Centre (IAC)
The AIFC Court and the IAC are separate dispute-resolution bodies. The AIFC Court adjudicates matters within its jurisdiction, while the IAC administers arbitration and other alternative dispute-resolution processes under applicable agreements and rules. Contracts should clearly address jurisdiction, dispute-resolution forum, governing law and enforcement.
